What is Cap Table?

A cap table (capitalization table) is a spreadsheet that shows every shareholder in your company, how many shares they own, what type (common, preferred, options), and at what price they bought in. It's the source of truth for who owns what percentage of the company and serves as the foundation for all financial modeling and future fundraising rounds.

Why It Matters

Your cap table is the legal and financial backbone of your company. It determines who has voting rights, who gets paid in an exit, how much dilution each founder experiences, and whether your option pool is large enough for future hires. As you raise money, update it with each investment, showing the new shares issued, the new valuation implied, and resulting dilution percentages. After each funding round, run the numbers to show each party (including founders and early employees) how their ownership percentage changed. Before any major fundraising, have your lawyer review the cap table to spot any issues. Keep it updated quarterly; don't let it drift. When raising Series A and beyond, you'll need a fully audited and clean cap table.
